Legal Information

Scope

These Terms and Conditions apply to all contracts between Pascal Maurice Saur, trading as SAUR Visuals, hereinafter referred to as the Provider, and its clients, hereinafter referred to as the Client, concerning creative, design, technical and consulting services.

They apply to both business clients and consumers, unless mandatory statutory provisions provide otherwise. Deviating client terms apply only if accepted in text form.

Services

The Provider provides services in the fields of web design, branding, 3D visualization, AI-assisted image production, product visualization, retouching, compositing, print design, vehicle graphics, SEO-related content structure and related design services.

The type and scope of the services are determined by the respective offer, order confirmation or individual agreement in text form. A specific commercial result, including sales, rankings, leads or conversion rates, is not owed unless expressly agreed.

Conclusion of Contract

A contract is concluded by acceptance of an offer, written or electronic commissioning or confirmed project approval. Agreements by email, messenger or other text form may also be binding.

Client Cooperation

The Client shall provide all information, content, files, approvals, access data and other materials required for the project in good time and warrants that supplied content may be used lawfully and does not infringe third-party rights.

Fees and Payment Terms

The fee agreed in the offer applies. Unless otherwise agreed, 50% of the agreed fee is due upon commissioning and 50% upon completion or before final handover. Invoices are payable within 7 calendar days without deduction.

Additional services, later change requests, additional variants or extra work outside the agreed scope are charged separately. Where the Provider acts as a small business under Section 19 UStG, VAT is not shown.

Revisions and Acceptance

Unless otherwise agreed, two revision rounds are included. Further revisions or changes after approval are charged separately. The Client shall review completed work within 7 calendar days and report material defects in text form. If no justified notice is submitted, or if the work is used or published, it is deemed accepted.

Usage Rights and Files

Upon full payment, the Client receives a temporally, geographically and materially unrestricted right of use to the final delivered work results, unless otherwise agreed. Rights to open working files, raw data, source files, prompts, AI workflows or production files are transferred only if expressly agreed or actually delivered.

Third-party rights, including fonts, stock material, plugins, software and templates, remain subject to the respective licence terms.

References and Self-Promotion

The Provider may show created work, the Client name and logo as a reference on its website, in portfolios, presentations and social media unless the Client objects in text form before publication.

Third-Party Services

Hosting, domains, printing, external development, advertising budgets, stock material, music licences, plugins, fonts and other third-party services are not part of the contract unless expressly agreed. If coordinated by the Provider at the Client request, this is generally done in the Client name and on the Client account.

Dates and Deadlines

Delivery times and project deadlines are binding only if expressly confirmed as binding. Force majeure, technical failures, illness, missing Client cooperation or later change requests extend deadlines appropriately.

Liability

The Provider is liable without limitation in cases of intent, gross negligence and for damages resulting from injury to life, body or health. In cases of slightly negligent breach of essential contractual obligations, liability is limited to the typical, foreseeable damage.

The Provider is not liable for Client-provided content, legal admissibility of statements, trademark conflicts or rights infringements caused by Client specifications, unless the Provider is at fault. No liability is assumed for advertising success, visibility, rankings, conversion or sales development unless expressly guaranteed.

Consumer Dispute Resolution

The Provider is not willing and not obliged to participate in dispute resolution proceedings before a consumer arbitration board.

Final Provisions

The law of the Federal Republic of Germany applies. If the Client is a merchant, legal entity under public law or special fund under public law, the place of jurisdiction is the registered place of business of the Provider. Mandatory statutory consumer protection provisions remain unaffected.
